These Terms & Conditions ("Terms") govern your access to and use of the WilCodex™ platform, website, and services (the "Service"). By accessing the Service or requesting a demo, you agree to these Terms. If you use the Service on behalf of an organization, you accept these Terms for that organization.
WilCodex provides an AI-powered property-operations platform — a suite of integrated tools and AI agents (including "Martha") that run on your connected data. Features may be added, changed, or removed over time as the Service evolves.
You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) attempt to access data you are not authorized to access; (c) reverse-engineer, resell, or overload the Service; (d) upload malware or misuse the AI features; or (e) send messages that violate applicable messaging laws (including TCPA/10DLC rules for SMS).
You retain ownership of the data you and your organization provide or connect (including AppFolio-synced data). You grant WilCodex the rights needed to process that data to provide the Service. You are responsible for having the legal right to share the data you connect and for how you use the Service to communicate with residents and third parties.
The Service uses AI to generate analysis, drafts, summaries, and suggested actions. AI output may contain errors and should be reviewed before you rely on it for financial, legal, or operational decisions. You are responsible for actions you take based on AI output.
The Service integrates with third parties (e.g., AppFolio, Supabase, telephony/SMS providers, and AI providers). Your use of those integrations may be subject to their terms. We are not responsible for third-party services.
WilCodex and its logos, software, and content are owned by WilCodex and protected by law. These Terms do not grant you any right to our trademarks or to copy or create derivative works of the Service.
Paid features are billed per your order or subscription agreement. Fees are non-refundable except as required by law or expressly stated in your agreement.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
To the maximum extent permitted by law, WilCodex will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the amounts you paid to WilCodex in the twelve months before the claim.
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. On termination, your right to use the Service ends; customer data handling follows our Privacy Policy and your agreement.
These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Ohio.
We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance of the updated Terms.
